These Terms & Conditions (“Terms”) govern your access to and use of DesiForce.com

(“DesiForce,” “we,” “us,” or “our”) and our websites, mobile applications, and related services

(collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Services.

1. Eligibility

 You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services. By accessing or using the Services, you represent that you meet these requirements and have the capacity to enter into a legally binding agreement.

2. Account Registration and Security

 To use certain features, such as posting business listings, classifieds, or reviews, you may need to create an account. You agree to provide accurate, current, and complete information and to maintain the confidentiality of your account credentials. You are responsible for all activities conducted under your account. We reserve the right to suspend or terminate your account if you provide false or misleading information or violate these Terms.

3. User Content

 You may submit content, including business listings, property postings, job ads, reviews, ratings, comments, and messages (“User Content”). By submitting User Content, you grant DesiForce a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from such content in connection with the Services. You represent and warrant that you own or have the necessary rights to your User Content, and that it does not infringe intellectual property rights, violate privacy rights, or breach applicable laws. We reserve the right to remove User Content that we determine is unlawful, misleading, defamatory, or otherwise inappropriate.

4. Business Listings, Classifieds, and Transactions

 DesiForce provides a platform for users to post businesses, properties, vehicles, jobs, and classifieds. We do not verify, endorse, or guarantee the accuracy, completeness, or quality of any listing. Transactions between users are conducted at their own risk. It is the sole responsibility of businesses and individuals to ensure that listings are lawful, truthful, and up to date. Listings that promote illegal products, misleading offers, or discriminatory practices are prohibited.

5. Prohibited Uses

 You agree not to use the Services for unlawful, fraudulent, or harmful purposes, including but not limited to posting spam, offensive or obscene content, malware, or unauthorized advertising; impersonating another person or misrepresenting your affiliation; collecting, harvesting, or misusing data about other users; interfering with or attempting to disrupt the operation of the Services; or attempting to bypass security measures. Any violation may result in account suspension or termination.

6. Intellectual Property

 All content and materials on the Services (excluding User Content), including text, graphics, logos, trademarks, software, and design, are owned by or licensed to DesiForce. You may not reproduce, copy, distribute, modify, or create derivative works from our intellectual property without our prior written consent.

7. Third-Party Services and Links

 The Services may include links to third-party websites, products, or services. DesiForce does not control or endorse, and is not responsible for, the availability, content, or accuracy of these third-party resources. Your interactions with third parties are solely between you and the third party, and are subject to their terms and privacy policies.

8. Privacy and Data Protection

 Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share personal information. We comply with applicable privacy and data protection laws, including the California Consumer Privacy Act (CCPA/CPRA) for U.S. residents and the Personal Information Protection and Electronic Documents Act (PIPEDA) for Canadian residents. By using our Services, you consent to the collection and processing of your personal data in accordance with our Privacy Policy.

9. Disclaimer of Warranties

 The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee uninterrupted access, error-free operation, or that defects will be corrected.

10. Limitation of Liability

 To the fullest extent permitted by law, DesiForce, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, goodwill, data, or other intangible losses, arising out of or related to your use of the Services. Our total liability for any claim shall not exceed the greater of (a) the amount you paid to DesiForce in the twelve months preceding the claim, or (b) USD $100. Some jurisdictions, including certain Canadian provinces, do not allow limitations of liability for certain damages; in such cases, our liability is limited to the extent permitted by law.

11. Indemnification

 You agree to indemnify, defend, and hold harmless DesiForce, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any applicable law or third-party rights.

12. Termination

 We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, with or without notice, if you violate these Terms or misuse the Services. You may discontinue use of the Services at any time. Provisions concerning intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination.

13. Governing Law and Jurisdiction

 For users in the United States, these Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California. For users in Canada, these Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts located in Toronto, Ontario.

14. Changes to the Terms

 We may modify these Terms from time to time to reflect changes in our Services, practices, or legal requirements. We will post updated Terms with a revised effective date. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
